Companies issue a non-compete agreement (aka non-competition agreements) to prohibit an independent contractor or employee from entering into competition with the company during or after their service period to the company. These provisions can be included in employment agreements (such as a PIIA or independent contractor agreement), or in stand-alone agreements. Some states (such as California) do not enforce non-compete clauses, and may invalidate entire employment agreements if they include a non-compete clause. Most other states will enforce a non-compete clause, but they will require that it be limited as to the subject, time, and geographic scope of enforcement. The more narrow the scope of a non-compete, the more likely it will be to be enforced.
