Purpose:

The equity purchase agreement is an agreement in which an individual or entity purchases equity from the company. Most companies require a vesting schedule which makes the agreement a restricted equity purchase. Standard vesting is over 4 years with 1/4th of the shares vesting after the first year and 1/48th of the shares vesting each month thereafter.
