Equity Issuance Board Consent

This article describes the equity issuance board consent document and how you can access it on Savvi.

Most state laws (and organizational documents) require that any equity issuances in a company be authorized by the company's board of directors. The equity issuance board consent provides this authorization for the issuance of equity. A single consent may approve multiple issuances to multiple people at the same time. If equity is issued without board approval, such equity issuance becomes voidable (and in some states may be deemed void ab initio) and may require a ratifying action by the board.
