Purpose:

An investment instrument that functions as a loan (with interest and a maturity date), that carries the right to convert into equity at a future event. Typically, a convertible note will convert in a "Qualified Financing" and will often convert into preferred stock at a discount (a "conversion discount") or at a fixed valuation (a "valuation cap").
